Agency for Securities and Special Registration of the Ministry of Finance

Agency for the Development of the Securities Market and Specialized Registration was established by Resolution No. 588 of the Government of the Republic of Tajikistan dated December 28, 2006, “On the Ministry of Finance of the Republic of Tajikistan”, as a structural unit of the Ministry of Finance of the Republic of Tajikistan.

Since the date of its establishment, the Agency has operated as an authorized state body in the field of regulation and supervision of the securities market and implements the state policy for the development of this sector. The activities of the Agency are aimed at developing the capital market, ensuring transparency of the activities of market participants, protecting the rights and interests of investors and shareholders, state registration of securities issuance, as well as supervision of the activities of professional market participants.

In its activities, the Agency is guided by the Constitution of the Republic of Tajikistan, the Law of the Republic of Tajikistan “On the Securities Market”, other regulatory legal acts of the Republic of Tajikistan, international legal acts recognized by the Republic of Tajikistan, decrees and orders of the President of the Republic of Tajikistan, resolutions of the Government of the Republic of Tajikistan, as well as acts of the Ministry of Finance of the Republic of Tajikistan.

Responsibilities of the Agency

acceptance and preparation of documents for the state registration of securities;
maintenance of the Unified State Register of Securities and the Register of Licenses;
exercising control over the activities of issuers, professional market participants and joint-stock companies;
acceptance and preparation of documents for the issuance of a license for professional activities in the securities market;
development and implementation of qualification requirements, as well as financial stability standards for market participants;
ensuring cooperation with state bodies and international organizations;
studying and analyzing the development of the securities market, as well as developing methodological recommendations;
provision of state and paid services in accordance with the requirements of the legislation of the Republic of Tajikistan.

Activities of the Agency

development and implementation of standards, rules and regulations for regulating the activities of the securities market;
carrying out state registration of securities issues and assigning a registration number;
licensing and supervision of the activities of professional participants in the securities market;
conducting inspections and monitoring the activities of issuers and market participants;
maintenance of the register of shareholders and ensuring the preservation of relevant information;
promoting the development of the information environment and increasing the professional level of market participants;
ensuring the publication of official information and participation in the development of the state policy for the development of the securities market;
ensuring cooperation with state bodies, institutions and international organizations.

Rights of the Agency

participation in the development of regulatory legal acts;
requesting necessary information from state bodies and entities of the securities market;
exercising supervision and conducting inspections of the activities of market participants;
requesting reports and necessary information from issuers and professional market participants;
preventing and terminating illegal transactions, as well as applying measures provided for by legislation;
sending materials to law enforcement bodies and applying to the court in accordance with the established procedure;
signing cooperation agreements with relevant foreign bodies;
exercising other rights in accordance with the legislation of the Republic of Tajikistan.

Structure of the Agency

The Agency is headed by the Director, who is appointed and dismissed by a resolution of the Government of the Republic of Tajikistan upon the recommendation of the Minister of Finance of the Republic of Tajikistan.
The Director manages the activities of the Agency, issues orders and instructions, approves the structure and work plan of the Agency, and also appoints and dismisses employees.
The Deputy Director, heads of departments and the Chief Accountant are appointed by the Minister of Finance of the Republic of Tajikistan upon the recommendation of the Director.
The Agency has the right to establish its representative offices in the regions.
The structure of the Agency consists of departments, divisions and auxiliary units.
